Pilgrim’s Pride announces offering of senior notes

GREELEY — Pilgrim’s Pride Corp. (Nasdaq: PPC) and Pilgrim’s Europe Finance plc, a wholly owned subsidiary of the company, have commenced a private offering of up to 500 million euros in senior notes, intending to use the net proceeds for general corporate purposes.

Some of those purposes include costs and expenses related to Pilgrim’s acquisition of Walkers Deli & Sausage Co. in August. Walkers is one of the United Kingdom’s most established producers of premium pork products, with a heritage dating back to 1824. The business operates from four production facilities on a single site in Leicester and employs approximately 1,150 workers.

The notes have not been registered under the Securities Act of 1933 or the securities laws of any state or other jurisdiction, and may not be offered or sold in the United States without registration or an applicable exemption from registration requirements.

The notes will be offered only to qualified institutional buyers and to certain non-U.S. persons.
