Herb magazines to go public with merger

LOVELAND — Loveland is set to plant a new hometown public company in time for the harvest moon.

Herb Companion Press LLC of Loveland unfolded the latest stage of its rapid development Sept. 5, when it announced a pending merger with GoHealth.MD (OTC BB:GOMD) that would transplant the New Jersey-based public company’s headquarters to Northern Colorado.

“We signed a letter of intent and are working on the definitive agreement,´ said Logan Chamberlain, founder, president and chief executive of Herb Companion Press. “I anticipate we’ll be signing the deal no later than next week.”

Chamberlain will exchange his 100 percent interest in Herb Companion Press for 3 million shares of GoHealth stock – currently worth approximately $12 million – to become the majority stockholder, president and chairman of the resulting company. GoHealth’s corporate offices will move to Colorado and share a 5,000 square-foot facility with Herb Companion Press’s current staff of 20 in downtown Loveland.

“Because we’re basically in the same industry, we attended the same trade shows,´ said Leonard Vernon, founder and current president and chairman of GoHealth. “We got to know each other, saw the synergies we’d have from a marketing standpoint and the rest is history.”

Through its Internet alter ego, www.healthmall.com – which records up to 1.5 million visits a month, GoHealth has grown in less than two years from a two-person start-up to a publicly traded dot-com powerhouse of the online alternative medicine industry.

“The key in all this is the data,” Vernon said. “We both have very rich databases. GoHealth has data for 150,000 people: their names, phone numbers, what herbs they take, what vitamins they take. Subscribers are an extremely valuable source of data.”

Chamberlain founded Herb Companion Press 3 1/2 years ago with the help of Linda Ligon, founder of Interweave Press Inc. Chamberlain and Ligon recently dissolved the partnership to pursue their areas of expertise independently.

Chamberlain, who has a doctorate in human-resources development, has kept his focus on herbal healing and alternative medicine for 15 years.

Herb Companion Press will continue to build on its existing magazines, Herbs for Health and The Herb Companion, but plans are in the works, Chamberlain said, to acquire a third magazine and create a fourth.

With its upcoming move to Northern Colorado, GoHealth will round out a trio of Loveland-based public companies that includes Enter Tech Corp. (OTC BB:ENTR) and Factual Data Corp. (NYSE:FDCC). GoHealth plans to apply for placement on the Nasdaq small cap market as soon as the merger moves to completion.
